These Terms of Use, the Privacy Policy, the Cookies Policy and all policies posted on our site set out the terms on which we offer you access to and use of our site, services, applications and tools (collectively "Services"). You can find an overview of our policies here. All policies, the Cookies Policy, and the Privacy Policy are incorporated into these Terms of Use. You agree to comply with all the above when accessing or using our Services.

Account

In order to access and use some or a portion of the Services, you may be required to register with us and set up an account with your email address and a password (your “Account”). The email address you provide will be your email address, and you are solely responsible for maintaining the confidentiality of your password. You are solely responsible for all activities that occur under your Account. Therefore, you should protect your password and make your password difficult for others to guess. You will not transfer your Account to another party without our consent.

Subscriptions
Automatic Renewal

Unless you cancel before the end of the applicable period, the subscription will automatically renew and you authorize us to collect the then-applicable annual or monthly subscription fee (as well as any taxes) using any credit card or other payment mechanisms we have on record for you.

Canceling

Subscriptions can be canceled at any time from the Website's Account page. Once your subscription runs out, any extra data tied to premium features can be removed at any time.

Refund Policy

Unless indicated otherwise at the explicit discretion of crosstally, all sales are final and no refunds are provided for any products or services provided.

Acceptable Use Policy

You agree not to use the Site or Services to collect, upload, transmit, display, or distribute any User Content:

(a) upload, transmit, or distribute viruses or any other software intended to damage or alter a computer system or data;

(b) send unsolicited or unauthorized advertising, promotional materials, junk mail, spam, or any other form of duplicative or unsolicited messages, whether commercial or otherwise;

(c) harvest, collect, gather or assemble information or data regarding other Users, including email addresses, without their consent;

(d) interfere with, disrupt, or create an undue burden on servers or networks connected to the Site or Services;

(e) attempt to gain unauthorized access to the Site or Services, other computer systems or networks connected to or used together with the Site or Services, through password mining or other means;

(f) harass or interfere with another User's use and enjoyment of the Site or Services; or

(g) introduce software or automated agents or scripts to the Site or Services so as to produce multiple Accounts, generate automated searches, requests and queries, or to strip, scrape, or mine data from the Site or Services.

We reserve the right (but have no obligation) to review any User Content, investigate, and/or take appropriate action against you in our sole discretion (including removing or modifying your User Content, terminating your Account in accordance with this Agreement, and/or reporting you to law enforcement authorities) if Crosstally reasonably believes you have violated the Term of Service policy or any other provision of this Agreement or otherwise create liability for us or any other person.

Content

Crosstally has not reviewed, and cannot review, all of the material, including computer software, posted to the Website, and cannot therefore be responsible for that material's content, use or effects. By operating the Website, crosstally does not represent or imply that it endorses the material there posted, or that it believes such material to be accurate, useful or non-harmful. You are responsible for taking precautions as necessary to protect yourself and your computer systems from viruses, worms, Trojan horses, and other harmful or destructive content.

Policy Changes

Crosstally reserves the right, at its sole discretion, to modify or replace any part of this Agreement. It is your responsibility to check this Agreement periodically for changes. Your continued use of or access to the Website following the posting of any changes to this Agreement constitutes acceptance of those changes. crosstally may also, in the future, offer new services and/or features through the Website (including, the release of new tools and resources). Such new features and/or services shall be subject to the terms and conditions of this Agreement.

Termination

Crosstally may terminate your access to all or any part of the Website at any time, with or without cause, with or without notice, effective immediately. If you wish to terminate this Agreement or your crosstally account (if you have one), you may simply discontinue using the Website. All provisions of this Agreement which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

Indemnification

You agree to indemnify and hold harmless crosstally, its contractors, and its licensors, and their respective directors, officers, employees and agents from and against any and all claims and expenses, including attorneys' fees, arising out of your use of the Website, including but not limited to your violation of this Agreement.

Choice of Law

The Agreement is made under and shall be governed by and construed in accordance with the laws of the province of Alberta, without giving effect to any principles that provide for the application of the law of another jurisdiction.
